GCAC RECEIVES OPINION FROM THE BANK OF LITHUANIA CITIZEN GREEN TOKEN DEEMED A UTILITY TOKEN

Vancouver, British Columbia, Canada, May 28, 2018 – Global Cannabis Applications Corp. (“GCAC” or the “Company”) (CSE: APP, FSE:2FA, OTCQB: FUAPF), a leading developer of innovative data technologies for the cannabis industry, is pleased to announce that it has received an Opinion Provision from the Bank of Lithuania concluding the Citizen Green token (CGT) is not a security. The official letter received from Bank of Lithuania’s Supervision Service states:  Taking into account the fact that the issued tokens do not grant their holders any property and non-property rights, related to the revenues or control of the Company, and do not create any obligations with respect to token holders, such type tokens should not be deemed to be securities.  

“The opinion letter from the Bank of Lithuania Supervision Service is an independent validation that our token ecosystem is a utility and not a security,” said GCAC CEO Brad Moore. “We have an international team of experts working to implement a token economy that will facilitate the collection and use of medical cannabis data to benefit the global cannabis industry in a fully compliant way. GCAC Europe, a wholly owned subsidiary of GCAC, applied to have the Bank of Lithuania analyse the GCAC token model and functions, and evaluate if the token has the features of a security or other financial instrument. The Bank of Lithuania is a part of the Eurosystem and cooperates with the European Central Bank and other Euro central banks to make decisions on monetary policy and its implementation. It examined the GCAC business model, CGT token functions, White Paper and supporting materials and deemed the token to be a utility.

GCAC is finalizing the launch of its own CGT as the basis of a medical cannabis loyalty program. The CGT is an important part of Citizen Green data platform, the world’s first end to-end data aggregation and user delivery system for the medical cannabis industry. GCAC SIGNS COLLABORATION AGREEMENT WITH FOCUS

GCAC TO PARTICIPATE IN MEDICAL CANNABIS STUDY CONDUCTED BY UNIVERSITY OF BRITISH COLUMBIA PROFESSOR, DR. ALASDAIR BARR

(“GCAC” or the “Company”) (CSE:APP, FSE:2FA, OTCQB:FUAPF), a leading developer of innovative data technologies for the cannabis industry, is pleased to announce that it will participate in a medical cannabis study on the effects of cannabis on mental health conducted by Dr. Alasdair Barr.

 

GCAC will support Dr. Alasdair Barr, PhD, in a medical cannabis research study conducted by the University of British Columbia on the effects of cannabis on mental health. The study will be applied using semi-structured clinical interviews with instruments commonly applied to clinical trials in order to investigate a population of people in Vancouver, BC who suffer from mental health issues and choose to self-medicate with medical cannabis. By using clinical interviews and questionnaires, the results of the study are expected to gain a more thorough understanding of the population that uses medical cannabis, including the frequency and specific type of cannabis cultivars used for specific symptoms or disorders. Medical cannabis can be used for a wide variety of different medical conditions, but the large majority of patients use it for its psychological effects, such as for anxiety, depression, pain and insomnia.

 

Dr. Alasdair Barr is an Associate Professor at the University of British Columbia with a focus on mental health and addictions research, using a multidisciplinary and translational approach that spans from laboratory to clinic. Dr. Barr maintains active programs in both clinical and preclinical research and has been published in over 150 peer-reviewed articles. Dr. Barr is active in the cannabis space and serves as a scientific consultant to multiple cannabis based companies.

Global Cannabis Closes First Tranche of Private Placement  

Vancouver, British Columbia, Canada, March 22, 2018 – Global Cannabis Applications Corp. (“GCAC” or the “Company”) (CSE: APP, FSE:2FA, OTCQB: FUAPF), a leading developer of innovative data solutions for the cannabis sector announced that it has closed the first tranche of its non-brokered private placement issuing a total of 16,457,114 units (the “Units”) at a price of $0.33 per Unit for each for gross proceeds of $5,430,847.60 (the “Private Placement”). The price of the investment represents a 6.45% premium to the VWAP of GCAC shares over the last 5 days in which shares were traded prior to the date of this announcement.

 

Each Unit consists of one (1) common share and one common share purchase warrant whereby each warrant entitles the holder to purchase one additional common share of the Company for a period of two (2) years at a price of $0.55 per share.  In accordance with applicable securities legislation, all securities issued pursuant to the Private Placement are subject to a statutory hold period of four months plus one day from the date of issuance. The proceeds of the private placement will be used for working capital including further development of the Citizen Green blockchain platform, acquisition of cannabis data via clinical studies and patient interactions with Sanna, the Company’s proprietary artificial intelligence chatbot (see press release dated March 15, 2018) and the launch of Citizen Green Token economy.  The Citizen Green utility token will be used to provide rewards to patients and institutions that provide medical cannabis data, and by cannabis companies and regulators to access data on the Citizen Green platform.

GLOBAL CANNABIS APPLICATIONS CLOSES PRIVATE PLACEMENT

Vancouver, British Columbia, Canada, November 16, 2017 – Global Cannabis Applications Corp. (“GCAC” or the “Company”) (CSE:APP, FWB:2FA, OTCQB:FUAPF), a leading developer of innovative data technologies for the cannabis industry, announces it has closed a non-brokered private placement offering (the “Private Placement”).

Pursuant to the Private Placement, the Company has issued 2,300,000 units at a price of $0.10 per unit for gross proceeds of $230,000. Each unit consists of one common share and one common share purchase warrant, whereby each warrant entitles the holder to purchase one additional common share of the Company for a period of two years from closing at an exercise price of $0.13 per common share.

Proceeds from the Private Placement will be used for general working capital and corporate purposes and all securities issued in connection with the Private Placement are subject to a statutory hold period of four months from the date of issuance.

A director and officer of the Company participated in the Private Placement by purchasing an aggregate of 200,000 units. Accordingly, the Private Placement constituted to that extent a related party transaction as defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The transaction is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101, as neither the fair market value of any shares issued to, nor the consideration paid by such person, exceeded 25% of the Company’s market capitalization. Further, neither the Company nor the related party has knowledge of any material information concerning the Company or its securities that has not been generally disclosed. The material change report in connection with the Private Placement was not filed 21 days in advance of the closing of the Private Placement for the purposes of Section 5.2(2) of MI 61-101 on the basis that the subscriptions under the Private Placement were not available to the Company until shortly before the closing.

GLOBAL CANNABIS APPLICATIONS CLOSES PRIVATE PLACEMENT

Vancouver, British Columbia, Canada, October 13, 2017 – Global Cannabis Applications Corp. (“GCAC” or the “Company”) (CSE:APP, FWB:2FA, OTCQB:FUAPF), a leading developer of innovative data technologies for the cannabis industry, announces it has closed a non-brokered private placement offering (the “Private Placement”).

Pursuant to the Private Placement, the Company has issued 4,010,000 units at a price of $0.10 per unit for gross proceeds of $401,000. Each unit consists of one common share and one common share purchase warrant, whereby each warrant entitles the holder to purchase one additional common share of the Company for a period of two years from closing at an exercise price of $0.13 per common share.

Proceeds from the Private Placement will be used for general working capital and corporate purposes and all securities issued in connection with the Private Placement are subject to a statutory hold period of four months from the date of issuance.

A director and officer of the Company participated in the Private Placement by purchasing an aggregate of 30,000 units. Accordingly, the Private Placement constituted to that extent a related party transaction as defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The transaction is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101, as neither the fair market value of any shares issued to, nor the consideration paid by such person, exceeded 25% of the Company’s market capitalization. Further, neither the Company nor the related party has knowledge of any material information concerning the Company or its securities that has not been generally disclosed. The material change report in connection with the Private Placement was not filed 21 days in advance of the closing of the Private Placement for the purposes of Section 5.2(2) of MI 61-101 on the basis that the subscriptions under the Private Placement were not available to the Company until shortly before the closing.

GCAC Australia will specialise in developing special projects using cutting edge technologies to collect big data – important for clinical trials, university research teams, the medical community and regulators – in the medical cannabis space.

GLOBAL CANNABIS APPLICATIONS CORP. CLOSES PRIVATE PLACEMENT

Vancouver, British Columbia, Canada, August 14, 2017 – Global Cannabis Applications Corp. (“GCAC” or the “Company”) (CSE:APP, FWB:2FA, OTCQB:FUAPF), a leading developer of innovative smartphone applications for the cannabis industry, announces it has closed a non-brokered private placement offering (the “Private Placement”).

Pursuant to the Private Placement, the Company has issued 4,101,000 units at a price of $0.075 per unit for gross proceeds of $307,575. Each unit consists of one common share and one common share purchase warrant, whereby each warrant entitles the holder to purchase one additional common share of the Company for a period of five years from closing at an exercise price of $0.10 per common share.

Proceeds from the Private Placement will be used for general working capital and corporate purposes and all securities issued in connection with the Private Placement are subject to a statutory hold period of four months from the date of issuance.

A director and officer of the Company participated in the Private Placement by purchasing an aggregate of 200,000 units. Accordingly, the Private Placement constituted to that extent a related party transaction as defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The transaction is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101, as neither the fair market value of any shares issued to, nor the consideration paid by such person, exceeded 25% of the Company’s market capitalization. Further, neither the Company nor the related party has knowledge of any material information concerning the Company or its securities that has not been generally disclosed. The material change report in connection with the Private Placement was not filed 21 days in advance of the closing of the Private Placement for the purposes of Section 5.2(2) of MI 61-101 on the basis that the subscriptions under the Private Placement were not available to the Company until shortly before the closing.

GLOBAL CANNABIS APPOINTS MANAGING DIRECTOR FOR AUSTRALIA

Jason Webb as Managing Director for Australian Operations. Jason Webb has extensive experience in tech commercialisation in Australia and has helped build a number of businesses in cutting edge sectors such as FinTech (financial technology) and RegTech (regulation technology).

In early July 2017, GCAC will launch Citizen Green’s CannaMed and CannaLife, two apps built specifically for new and existing global medical cannabis users that will be available in German, English, Italian, French and Spanish across the globe. Both applications utilize GCAC’s CannaCube Pain To Strain™ user-friendly technology that incorporates a proprietary database of over 10 years of field research that uniquely allows medicinal cannabis users to create individual user profile preferences to address one or multiple conditions for which they seek therapeutic benefits

GLOBAL CANNABIS PARTNERS WITH CREATOR OF THE CANN HELP DECK, ADOLFO GONZALES

Adolfo Gonzales will work with GCAC to launch its Citizen Green apps to medical cannabis users in Europe and Australia. Mr. Gonzales’ data set will allow GCAC app users to accurately identify medical cannabis products for their needs and provide user feedback for licensed producers, doctors and pharmacists. Additionally, Citizen Green app users can use Mr. Gonzales’ data to educate themselves through cannabis-focused searches, and share and collaborate with other users. GLOBAL CANNABIS APPLICATIONS CLOSES PRIVATE PLACEMENT

Vancouver, British Columbia, Canada, May 5, 2017 – Global Cannabis Applications Corp. (“Global Cannabis” or the “Company”) (CSE: APP, FSE: 2FA, OTCQB: FUAPF) a leading developer of innovative smartphone applications for the cannabis industry, announces it has closed a non-brokered private placement issuing a total of 3,666,665 Units at a price of $0.075 per Unit to raise gross proceeds of $275,000 (the “Private Placement”).

Each Unit consists of one (1) common share and one-half (1/2) common share purchase warrant, whereby each full warrant entitles the holder to purchase one additional common share of the Company for a period of two (2) years from closing at an exercise price of $0.10 per share. All securities distributed pursuant to the Private Placement are subject to a four month hold period in accordance with applicable securities laws.

The proceeds from the Private Placement will be used for general working capital and corporate purposes.

(“Fundamental” or the “Company”) (CSE: FUN, FSE: 2FA, OTCQB: FUAPF) a leading developer of innovative smartphone applications, announces it has granted stock options to acquire up to 1,000,000 common shares in the Company to certain of its directors, officers, employees, and consultants (the “Options”).  The Options have an exercise price of $0.10 and expire on March 7, 2022.

The Company’s stock option plan allows for 3,412,234 common shares to be reserved for issuance under the plan. Upon issuance of the options granted, there will be 3,360,000 common shares reserved under options outstanding, leaving 52,234 common shares that may be reserved for issuance under the Company’s stock option plan.  The stock option grant is subject to regulatory approval.

In addition, Fundamental announces that it has settled debt in an aggregate amount of $50,000 in exchange for the issuance of 500,000 common shares to an unrelated creditor.  The debt settlement is based on a deemed price of $0.10 per common share.  The Company intends to issue a further 300,000 common shares shortly to settle a separate debt in an aggregate amount of $30,000 in exchange for the issuance of 300,000 common shares to another unrelated creditor.  This debt settlement will again be based on a deemed price of $0.10 per common share.

The Company determined it was best to reduce its debt at this time by the issuance of shares in order to preserve its cash for operations and is relying on exemptions from prospectus requirements and applicable securities laws to issue the shares.

All securities issued in connection with debt settlement are subject to a hold period of four months plus a day from the date of issuance in accordance with applicable securities legislation.

Fundamental and MO will provide millennials, college and university students in Colombia a fully integrated ecommerce solution.  Fundamental’s Foro platform will use a Foro storefront connected by API (Application Programming Interface) to a payment gateway facilitated by MO’s credit engine.  MO and Fundamental will launch a multi campus marketing campaign targeting Colombia’s 2,000,000+ secondary education students in January 2017.

Investment Terms

Further to the Company’s news release of November 28, 2016, and pursuant to a Convertible Promissory Note issued by MO in favour of the Company (the “Note”), the Company has agreed to invest US$50,000 in MO.

The Note, which is subject to an automatic conversion of the principal and unpaid accrued interest into shares of MO, shall bear interest on the outstanding principal amount at the rate of 8% per annum, from the date of funding of such principal amount until the Note is paid in full or converted into equity securities of MO.  The principal on the Note, together with all accrued and unpaid interest thereon, shall be due and payable on May 28, 2018.

MO has developed a unique credit engine platform, which can reach a credit decision in less than 20 seconds without requiring the user to provide any additional information, based on user behaviors. MO plans to launch nano and micro loans in Colombia in 2017 and then expand its service to additional countries in Latin America, Africa and Asia.
